1. Acceptance of these terms and conditions
The site Exchangeo, hereinafter referred to as « Exchangeo », is a service published by Autrement le Web®. Using Exchangeo is conditional upon your fully acceptance of all these terms and conditions or any other particular terms and conditions of use that may appear on each page of the site. By using and registering or identifying yourself with this site, your signify your fully acceptance and respect of these terms and conditions. These terms and conditions can be amended or updated at any time without notice.
2. Description of the service
Exchangeo provides users with an online service connecting users, who have posted free and friendly housing listings of hospitality exchange, home exchange or to lend homes, whether users are a tenant or an owner, for holidays or for longer time. Any new characteristic improving the current service or any new service launched by Exchangeo will be submitted to these terms and conditions of use, except as otherwise expressly specified. You agree that Exchangeo is provided on a “as is” basis and that Exchangeo cannot be held responsible for the uprising, deleting, faulty delivery or storage of communications or personal equipment of users.
To use Exchangeo you need an Internet access either directly or through systems accessing to Internet contents, any possible arising costs being at your own charge. Moreover you shall provide yourself with all equipment needed, more especially a computer, a modem or any other connecting tool to access to the Internet web.
Besides you shall be informed that any lookup, display, downloading and/or transmission of sites or pages, particularly when searching on other sites and services, that are regarded as unlawful by the French Law, is forbidden and that any infringement shall subject the violator to legal proceedings and penalties.
3. Conditions of registration
Registering Exchangeo is valid for one year from the registration date and will be renewed by tacit agreement at expiry date.
Users should provide Exchangeo with compulsory information asked by Exchangeo and with optional information on posting forms of online listings that they consider as useful to other users as regards the nature and the conditions of use of the home they wish to exchange. Users shall guarantee the accuracy and integrity of the information they give to Exchangeo. Users shall commit themselves to checking, before broadcasting any information on Exchangeo, that they have all rights to broadcast this information publicly without infringing any third party right, more especially when broadcasting photos. Users acknowledge that the information they publish on Exchangeo is in the public domain and may be thus freely accessible on internet. Users shall commit themselves to broadcasting information that shall respect law and order, be family safe and with no racial, sexual or offending content of any kind. Information transmitted by users is partly monitored by Exchangeo under publishing control of users. Users commit themselves to updating the information they give and have to that end an accessing and rectifying right by connecting themselves on their account to modify directly as needed. Any information given by users is not to be considered as secret by Exchangeo. Exchangeo may therefore use freely this information to promote or administrate its services.
Each user may offer exchange only for homes that he legally occupies and for which he has sufficient rights and titles to make it possible an exchange with other users.
At the end of the registering process, users are providing with a password protecting their account. Users only take responsibility concerning the secrecy of their password and for all actions undertaken with their account and/or password. Users commit themselves to informing immediately Exchangeo of any unauthorized use of their account and/or password and/or any security breach and to getting sure that they clearly disconnect themselves after each use. Exchangeo shall have no responsibility with respect to any loss or damage arising because the above described obligations have not been complied with.
In accordance with the French Act Computer and Freedoms n° 78-17 of January 06th, 1978, you are entitled to access, modify, rectify, or delete your personal datas.
4. Modalités de paiement et de renouvellement
L'utilisation d'une partie des services de Exchangeo suppose que l'utilisateur dispose d'un abonnement payant. Les utilisateurs peuvent acquérir un abonnement soit par carte bancaire, soit par chèque, soit par virement bancaire.
Le prix et les modalités de paiement des différents services payants sont constamment accessibles lors de la présentation ou de l'utilisation du (ou des) service(s) payant(s) au(x)quel(s) l'utilisateur souhaite souscrire, ainsi que de leur(s) tarif(s) respectif(s).
Les prix sont indiqués en € TTC (toutes taxes comprises).
L'acquisition d'un abonnement sur le compte de l'utilisateur est quasi simultanée à partir de la validation de la transaction par carte bancaire.
L'utilisateur peut à tout moment notifier à Exchangeo son souhait de résilier son abonnement. La résiliation prendra effet à la date d'échéance de l'abonnement en cours, conformément aux dispositions de l'article 8 "Résiliation" ci-dessous.
A l'expiration d'un abonnement, celui-ci sera, sauf résiliation notifiée par l'utilisateur à Exchangeo avant l'échéance d'un abonnement en cours, renouvelé de la durée de l'abonnement initial souscrit. L'abonnement ainsi prorogé sera facturé sur la base tarifaire de l'abonnement concerné au tarif plein, jusqu'à ce que l'utilisateur notifie à Exchangeo son souhait de résilier son abonnement en cours, dans les conditions décrites à l'article 10 "Résiliation, Droit de rétractation" ci-dessous.
Conformément à l'article L 136-1 du Code de la Consommation français, Exchangeo informera l'utilisateur concerné par courrier électronique, envoyé 90 (quatre vingt dix) jours avant l'expiration de l'abonnement souscrit, qu'il peut résilier gratuitement son abonnement avant la date d'échéance de celui-ci en le notifiant à Exchangeo, faute de quoi son abonnement sera prorogé de la durée de l'abonement initial souscrit, jusqu'à ce que l'utilisateur notifie à Exchangeo son souhait de résilier son abonnement en cours dans les conditions décrites à l'article 10 "Résiliation, Droit de rétractation" ci-dessous.
En outre, une information comparable sur l'échéance de l'abonnement d'un utilisateur est constamment rappelée aux utilisateurs dans l'espace membres qui leur permet de gérer leur abonnement et les options de leur compte.
5. Responsabilities
Users decide freely on terms and conditions of the exchange. Users are exchanging their homes at their sole risk. Exchangeo does not interfere in any way in any transaction between users and shall have no responsibility for the outcome of the contacts through the use of the site nor for the terms and conditions of exchanges.
Users shall not use the information given to Exchangeo or got through Exchangeo for any business or financial purpose.
Users agree that Exchangeo shall endorse no liability for disagreements, disputes or any other kind of troubles linked directly or not directly to the services offered by Exchangeo, particularly in the case of an error on the exchanged goods, damage or loss of opportunities.
6. Use of the services
You may use the services of Exchangeo providing that you comply with the relevant legislation of the country from which you are connecting and that you comply with all the provisions of these terms and conditions. You must not use the services of Exchangeo for any purpose that is unlawful or prohibited by these terms and conditions or for any purpose that has no relation with the one of the offered services.
Therefore, as described in the following list including but not limited, you must not :
- use the services of Exchangeo for any poll, survey, competition, pyramidal system, chain of letters, not requested letter, undesired letter, repeated messages, of business matter or other.
- libel, abuse, harass, track or threat anyone nor infringe the rights of third parties in any other manners, particularly civil rights including the right to private life.
- publish, post, download, record, hand out or disseminate any matter, name, piece of information that may be not appropriate, insulting to religious or ethic beliefs, defamatory, obscene, indecent, unlawful, damaging, hating, racist, violating human dignity in any other way or violating any right, particularly the rights of intellectual property.
- upload to a server files containing softwares or any other material protected by the rights of intellectual property, unless you are entitled to those rights or you control them lawfully or you have got all the necessary authorisations.
- promote, offer to sale or purchase any good or service for a business purpose, unless the offered service expressly authorises such messages.
- the services of Exchangeo must be used for personal and non-commercial purpose, unless otherwise specified.
- The altering, copying, distribution, transmission, broadcasting, representation, publishing, granting under license, creating derivative works, transfer or sale of any kind of information, software, product or service got from the services of Exchangeo is not permitted.
- infringe any code of behaviour or any other rules applying to a service of Exchangeo.
- gather or collect information about other people, including photos or emails, in any manner.
- infringe laws and regulations that are applicable in France or in the country from which you are connecting.
- falsify your identity or seize an existing identity in the purpose of cheating other people.
- putting in the site computer viruses or any file or information that will distrupt or destroy softwares, materials or equipments, gathering or storing personal information about other internet surfers is not permitted.
Moreover, users of Exchangeo shall comply with following rules of behaviour:
- remain proper and courteous.
- assert honestly and sincerely.
- respect the private life of others and the secrecy of the exchanged mails.
- repeated sending of texts or signs spamming messages are not permitted and may lead to exclusion.
- advertising, particularly for other websites or chatting reds, is strictly forbidden.
- insults, remarks that are rude, coarse, racist, fascist, discriminatory or defamatory are forbidden.
7. Linked sites
Exchangeo may contain links to other web sites, either economic partner sites or sites of users of Exchangeo wishing to have their personal sites known. Exchangeo may, at its discretion, refuse or delete any link if it is considered as contrary to its moral or economic interests. Moreover, should users post a link to their personal sites in an ad, they should be warrant that this link comply with all existing laws and rules applicable. Exchangeo shall endorse no responsability if users infringe an existing law provision. Exchangeo cannot fully and constantly control all linked sites. Therefore, it cannot be held responsible for the contents, modifications or updatings of other sites. Users agree that Exchangeo is not responsible for the broadcasting and/or defective work of a linked site. Inserting a link on Exchangeo does not imply that Exchangeo approves the content of the linked site. Exchangeo cannot be held responsible or liable for any business relationship , or any other kind of relationship, you may have with a linked site. Exchangeo has no relation with any operation between you and the linked site. Should you carry out a transaction with a linked site, you should read the general terms and conditions of use of the linked site.
8. Use of information
Exchangeo cannot be held responsible for how information of its site is understood, nor for the consequences of its use. More especially, advice offered by Exchangeo is provided for information only and cannot involve its responsibility in any way. Users use the datas provided by Exchangeo at their sole risk. You also agree that Exchangeo cannot be held responsible for any personal detail provided by the other users of the site or by yourself. Exchangeo cannot have any responsibility for any fraudulent retrieval, partially or totally, of names datas hold by Exchangeo nor for the consequences of a damaging use of them.
9. Characteristics and limits of the internet web
Exchangeo reminds you of the characteristics and limits of the Internet web and declines any responsibility for the consequences of your connection to this web.
More especially, Exchangeo cannot be held responsible for any material or not material damage caused to users, to their computer equipments and datas stored inside of them, nor for the consequences on their personal, occupational or business activity, whether the damages may arise or not from consulting and using its services.
Exchangeo cannot be held responsible if one or more users cannot connect due to any technical defect or any trouble linked particularly to the congestion of the network or its servers. More generally, Exchangeo cannot endorse any responsibility for circumstances beyond its control or any case out of its will.
We shall remind you that the broadcasting of Exchangeo, of linked sites and/or offered services, in whole or in part, may be temporarily interrupted in the case of imperative need of computer and technical maintenance. Those disruptions shall not involve our responsibility and/or cannot be considered as faulty services.
10. Résiliation, Droit de rétractation
Chaque utilisateur peut mettre fin à son inscription à Exchangeo en demandant la clôture de son compte à tout moment auprès de Exchangeo, sans frais autres que ceux liés à la transmission de sa demande et sans motif, notamment via l'espace membres de Exchangeo dédié à cet effet ou par tout autre moyen qui pourra lui être indiqué dans cette rubrique. Cette demande sera réputée effectuée le jour ouvré suivant la réception par Exchangeo de la demande de clôture du compte concerné.
Cette demande n'ouvre pas droit à remboursement en tout ou partie des sommes versées au titre de l'abonnement en cours.
Conformément à l'article L 121-20 du Code de la Consommation français, l'utilisateur est informé qu'il dispose d'un délai de sept jours francs à compter de la souscription d'un abonnement pour exercer son droit de rétractation, sans pénalité et sans motif. Toutefois, conformément à l'article L 121-20-2, 1° du Code de la Consommation français, le droit de rétractation ne peut plus être exercé dès lors que l'utilisateur a accédé aux services concernés par l'abonnement.
La résiliation d'un abonnement décidée par l'utilisateur prend effet à la date d'expiration de l'abonnement en cours. L'utilisateur sera informé par courrier électronique de la résiliation ou de la confirmation de la résiliation de son compte. Les données relatives à l'utilisateur seront détruites à sa demande ou à l'expiration des délais légaux courant à compter de la résiliation du compte de l'utilisateur.
En cas de manquement grave de l'utilisateur, Exchangeo résilie le compte de l'utilisateur 7 (sept) jours après l'envoi à l'utilisateur d'un courrier électronique lui demandant de se conformer aux présentes Conditions d'utilisation resté infructueux.
Chaque utilisateur enregistré sur Exchangeo doit déposer au moins une annonce sur Exchangeo. Tout compte utilisateur laissé sans annonce durant une période de 3 mois minimum pourra être automatiquement supprimé sans préavis. Cette résiliation produit les mêmes effets que celle décidée par l'utilisateur.
11. Databases
In accordance with the provisions of the French Act n°98-536 of July 1st, 1998 transposed from the Intellectual Property Code of the European Directive 96/9 CE of March 11th, 1996 on legal protection of databases, Exchangeo produces and owns, in whole or in part, databases of the site.
Users connecting Exchangeo acknowledge that its datas are protected by law and, in accordance with the provisions of the French Law of July 1st, 1998, that they may not upload, operate, store, copy, represent or keep, directly or indirectly in any media, by all means and forms, whole or substantial part, in quality or in quantity, of the content of databases of the site they are connecting as well as upload or operate in a systematic or regular manner non substantial parts of the content, in quality or in quantity, when these actions obviously go beyond the usual conditions of use.
12. Applicable law and jurisdiction
The agreement is under French Law exclusively. You hereby acknowledge that any dispute arising from, directly or indirectly, or linked in any way to the use of Exchangeo is submitted to the exclusive jurisdiction of Marseille, France, even if there were many plaintiffs, appeal for warranty or emergency proceeding.
13. Copyright
Any reproduction or broadcasting of information, texts and photos available on Exchangeo is not permitted without prior consent. The content is available for a personal and not collective use. The Intellectual Property Code authorises only, according to art. L.122-5 – paragraph 2 and 3, copies and reproductions which are strictly aimed to a private use of the people copying and not for a collective use, on one side, and anylisis and short mentions to give examples or illustrations, on the other side –art. L.122-4. Any representation or reproduction without the prior agreement of the owner would be an infringement punished by the articles L.335-2 and followings of the Intellectual Property Code. Any use whatsoever of marks and logos of the site, including but not limited Exchangeo, as well as commercial names of the partners of Exchangeo is not permitted without the prior agreement of the owners of the copyrights.
